Common use of Offering Document Clause in Contracts

Offering Document. The information set forth in the Offering Document and each report to stockholders of the Borrower, was, on the date thereof, true, accurate and complete in all material respects and did not, on the date thereof, contain any untrue statement of material fact or omit to state a material fact required to be stated therein or necessary to make the statements therein not misleading in any material respect. True and correct copies of all shareholder action, Managing Body action, SEC action, or amendments or modification to the Charter Documents (including, without limitation, each proxy statement and certification of the tabulations of the vote taken in connection therewith) effecting a change to the Investment Policies and Restrictions are contained on Schedule 2, and other than as set forth on Schedule 2 the Investment Policies and Restrictions have not been amended, restated, supplemented or otherwise modified since the date of the Offering Document.
