Common use of OFAC Certification Clause in Contracts

OFAC Certification. Each of Lessor and Lessee hereby certify that: (i) it is not acting, directly or indirectly, for or on behalf of any person, group, entity, or nation named by any Executive Order or the United States Treasury Department as a terrorist, Specially Designated National and Blocked Person, or other banned or blocked person, entity, nation, or transaction pursuant to any law, order, rule, or regulation that is enforced or administered by the Office of Foreign Assets Control; and (ii) it is not engaged in this transaction, directly or indirectly on behalf of, or instigating or facilitating this transaction, directly or indirectly on behalf of, any such person, group, entity, or nation. Each of Lessor and Lessee hereby agree to defend, indemnify, and hold harmless the other party from and against any and all claims, damages, losses, risks, liabilities, and expenses (including attorneys’ fees and costs) arising from or related to any breach of the foregoing certification.

Each of Lessor and Lessee hereby certify Tenant certifies that: (i) it is not acting, directly or indirectly, for or on behalf of any person, group, entity, or nation named by any Executive Order or the United States Treasury Department as a terrorist, “Specially Designated National and Blocked Person, ,” or other banned or blocked person, entity, nation, or transaction pursuant to any law, order, rule, or regulation that is enforced or administered by the Office of Foreign Assets Control; and (ii) it is not engaged in this transaction, directly or indirectly on behalf of, or instigating or facilitating this transaction, directly or indirectly on behalf of, any such person, group, entity, or nation. Each of Lessor and Lessee Tenant hereby agree agrees to defend, indemnify, and hold harmless the other party Landlord from and against any and all claims, damages, losses, risks, liabilities, and expenses (including attorneys’ attorney’s fees and costs) arising from or related to any breach of the foregoing certification.. ​

Each of Lessor and Lessee Tenant hereby certify that: certifies that (i) it Tenant is not acting, directly or indirectly, for or on behalf of any person, group, entity, entity or nation named by any Executive Order or the United States Treasury Department as a terrorist, Specially "Specifically Designated National and Blocked Person, ," or other banned or blocked person, entity, nation, or transaction pursuant to any law, order, rule, rule or regulation that is enforced or administered by the Office of Foreign Assets Control; and (ii) it Tenant is not engaged in this transaction, directly or indirectly on behalf of, or instigating or facilitating this transaction, directly or indirectly on behalf of, any such person, group, entity, entity or nation. Each of Lessor and Lessee Tenant hereby agree agrees to defend, indemnify, indemnify and hold harmless the other party Landlord from and against any and all claims, damages, losses, risks, liabilities, liabilities and expenses (including attorneys’ reasonable attorney's fees and costs) arising from or related to any breach of the foregoing certification.

Each of Lessor and Lessee Purchaser hereby certify certifies that: (i) it is not acting, directly or indirectly, for or on behalf of any person, group, entity, or nation named by any Executive Order or the United States Treasury Department as a terrorist, a Specially Designated National and Blocked Person, or other banned or blocked person, entity, nation, or transaction pursuant to any law, order, rule, or regulation that is enforced or administered by the Office of Foreign Assets Control; and (ii) it is not engaged in this transaction, directly or indirectly on behalf of, or instigating or facilitating this transaction, directly or indirectly on behalf of, any such person, group, entity, or nation. Each of Lessor and Lessee Purchaser hereby agree agrees to defend, indemnify, and hold harmless the other party Seller from and against any and all claims, damages, losses, risks, liabilities, and expenses (including reasonable attorneys’ fees and costs) arising from or related to any breach of the foregoing certification. This provision shall survive the Closing and the delivery of the deed to the Premises.
