Common use of Objection Notice Clause in Contracts

Objection Notice. On or prior to the thirtieth (30th) day following Purchaser’s delivery of the Final Calculations, the Seller Representative may give Purchaser written notice stating the Seller Representative’s objections (an “Objection Notice”) to the Final Calculations. Such Objection Notice shall specify in reasonable detail the amount of any objection and the basis therefor. During such 30-day period, the Seller Representative shall have full access to the Company’s books and records and its personnel and accountants as reasonably necessary for purposes of verifying the Final Calculations. Any determination set forth in the Final Calculations that is not objected to in an Objection Notice shall be deemed acceptable and shall be final and binding upon Purchaser and the Company upon delivery of the Objection Notice. If the Seller Representative does not give Purchaser an Objection Notice within such 30-day period, then the Final Calculations shall be conclusive and binding upon Purchaser and Sellers and the Final Calculations shall constitute the Final Calculations for purposes of Section 3.3(g) below.

During such 30-day period, the Seller Representative shall have full reasonable access to the Company’s books and records and its personnel and accountants as reasonably necessary for purposes of verifying the Final Calculations. Any determination set forth in the Final Calculations that is not objected to in an Objection Notice shall be deemed acceptable and shall be final and binding upon Purchaser Buyer and the Company Sellers upon delivery of the Objection Notice. If the Seller Representative does not give Purchaser Buyer an Objection Notice within such 30-day period, then the Final Calculations shall be conclusive and binding upon Purchaser Buyer and Sellers the Seller Representative and the Final Calculations shall constitute the Final Calculations for purposes of Section 3.3(g2.6(d) below.

Such Objection Notice shall specify in reasonable detail the amount of any objection and the basis therefor. During such 30-day period, the Seller Representative shall have full access to the Company’s books and records and its personnel and accountants as reasonably necessary for purposes of verifying the Final Calculations. Any determination set forth in the Final Calculations that is not objected to in an the Objection Notice delivered to Buyer in such 45-day period shall be deemed acceptable and shall be final and binding upon Purchaser Buyer and the Company Seller upon delivery of the Objection Notice. If the Seller Representative does not give Purchaser Buyer an Objection Notice within such 3045-day period, then the Final Calculations shall be conclusive and binding upon Purchaser Buyer and Sellers Seller and the Final Calculations shall constitute the Final Calculations for purposes of Section 3.3(g2.3(e) below.
