NSP obligations Sample Clauses
NSP obligations. 4.1 The NSP shall comply with the terms and conditions which are consistent with the minimum requirements set out in the Concession Contract aimed at governing the provision of the Service.
4.2 In performing the activities referred to in this Agreement, the NSP represents and warrants that it shall at all times use reasonable care and skill, act in accordance with all applicable laws and regulations, comply with the technical specifications detailed under Annex 1. The NSP shall deploy appropriate resources for performing the Service.
4.3 The NSP does not undertake or guarantee that any service will be fault free or uninterrupted. However, the service performance commitments are set out in the applicable SLAs in Annex
1. The Client accepts that the Service may be suspended without liability during any planned or emergency maintenance and/or outage. The NSP will give reasonable advance notice of planned outages.
4.4 Without prejudice to NSP’s obligations under this Agreement and in particular to the obligation to comply with , the NSP shall have no restriction whatsoever in connection with the choice of equipment, tools, materials and operating models for the supply of the Service.
4.5 The Parties acknowledge and agree that the NSP has the right to modify the terms and conditions of this Agreement at any time if required to do so by the Eurosystem. The NSP may also change the terms of this Agreement to comply with any applicable law, regulation or code of conduct or any change to any of the same. The NSP shall give the Client as much notice as is reasonably possible in the circumstances.
