Common use of Notwithstanding Condition Clause in Contracts

Notwithstanding Condition. 8.2, Buyer may use the Goods in its production processes or resell the Goods before ownership has passed to Buyer. Any sale of the Goods by Buyer shall be solely on the condition that such sale shall be on Buyer’s own behalf in the ordinary course of Buyer’s business at full value and Buyer shall deal as principal when making such sale. In such circumstances, title to the Goods shall pass from Seller to Buyer immediately before the time at which resale by Buyer occurs.
