Common use of Notification of Confidentiality Breach Clause in Contracts

Notification of Confidentiality Breach. Upon a breach or suspected breach of confidentiality, the Contractor shall immediately notify the DOH Privacy Officer at xxxxxxxxxxxxxxxxx@xxx.xx.xxx. For the purposes of this contract, “immediately” shall mean within two calendar days. The Contractor will take steps necessary to mitigate any known harmful effects of such unauthorized access including, but not limited to sanctioning employees, notifying subjects, and taking steps necessary to stop further unauthorized access. The Contractor agrees to indemnify and hold harmless DOH for any damages related to unauthorized use or disclosure by the Contractor, its officers, directors, employees, subcontractors, or agents.
