Common use of Notice of Stop Order Clause in Contracts

Notice of Stop Order. The Company will advise you promptly, and confirm in writing, when and if it receives notice or obtains Knowledge of (i) the issuance by the Commission of any stop order or other order preventing or suspending the use of any Preliminary Prospectus or the Prospectus or the effectiveness of the Registration Statement, (ii) the suspension of the qualification of any of the Securities for offering or sale in any jurisdiction in which they were previously qualified, or (iii) the initiation or threat of any proceeding for that purpose. The Company will promptly use its best efforts to prevent the issuance, and to obtain the withdrawal if such issuance is not prevented, of any such stop order or other suspension.
