Common use of Notice of Events Clause in Contracts

Notice of Events. Each party shall promptly notify each other party of (a) any event, condition or circumstance occurring from the date hereof through the Closing Date that would constitute a violation or breach of this Agreement, or (b) any event, occurrence, transaction or other item which would have been required to have been disclosed on any Schedule, Exhibit or statement delivered hereunder, had such event, occurrence, transaction or item existed on the date hereof, other than items arising in the ordinary course of business which would not render a change in any of the representations, warranties or other agreements of said party.

Notice of Events. Each party shall promptly notify each the other party of (ai) any event, condition or circumstance occurring from the date hereof through the Closing Date that would may reasonably be construed to constitute a violation or breach of this Agreement, or (bii) any event, occurrence, transaction or other item which would have been required to have been disclosed on any Schedule, Exhibit Schedule or statement delivered hereunder, had such event, occurrence, transaction or item existed on the date hereof, other than items arising in the ordinary course of business which would not render a change in any representation or warranty of the representations, warranties or other agreements of said partysuch party materially misleading.
