Common use of Notice of Change in Control or Control Event Clause in Contracts

Notice of Change in Control or Control Event. The Company will, within 10 business days after any Responsible Officer has knowledge of the occurrence of any Change in Control or Control Event, give written notice of such Change in Control or Control Event to each holder of Notes. In the case that a Change in Control has occurred, such notice shall contain and constitute an offer to prepay the Notes as described in clause (ii) of this Section 2(c) and shall be accompanied by the certificate described in clause (v) of this Section 2(c).

In Notes and apply to a Rating Agency for a review of the case then applicable credit rating in respect of the Notes or other Rated Securities; it being understood that a the Company will at the same time inform such Rating Agency of the Change in Control has occurred, such notice shall contain and constitute an offer to prepay the Notes as described in clause (ii) of this Section 2(c) and shall be accompanied by the certificate described in clause (v) of this Section 2(c)or Control Event.
