NOTICE OF AMENDMENT TO THE INDENTURE OR THE TRUST AGREEMENT. The Trust will give the Agent(s) at least seven (7) days' prior notice in writing of any proposed amendment to the Indenture or the Trust Agreement and, except in accordance with the applicable provisions of the Indenture or the Trust Agreement, not make or permit to become effective any amendment to the Indenture or the Trust Agreement which may adversely affect the interests of the Agent(s) or any holder of any outstanding Notes (as determined by the Agent(s) (or the bookrunning lead manager(s), in the case of a syndicated issue)) without the consent of the affected party.
