Not Illegal. No Law is in effect that makes the consummation of the Merger and the Business Combination illegal or otherwise prohibits or enjoins ▇▇▇▇▇▇▇, Metropolitan or Subco from consummating the Merger and the Business Combination.
Not Illegal. No Governmental Entity has enacted, issued, promulgated, enforced or entered any statute, rule, regulation, executive order, decree, injunction, order or other legal restraint (whether temporary, preliminary or permanent) that is in effect and that has the effect of making the Merger, illegal or otherwise prohibiting or preventing the consummation of the Merger.
