Common use of Nonliability of Agency Officials and Employees Clause in Contracts

Nonliability of Agency Officials and Employees. No member, official, agent, legal counsel or employee of the Agency shall be personally liable to the Developer, or any successor in interest in the event of any default or breach by Agency or for any amount which may become due to the Developer or successor or on any obligation under the terms of this Agreement.

No member, official, agent, legal counsel employee or employee consultant of the Agency shall be personally liable to the DeveloperParticipant, or any permitted assignee of or successor in interest to the Participant’s rights under this Agreement, in the event of any default or breach by the Agency or for any amount which may become due to the Developer Participant, or any permitted assignee of or successor to the Participant’s rights under this Agreement, or on any obligation obligations under the terms of this Agreement.
