Nonconforming Use. The use or occupancy of the Leased Real Property in the conduct of the business of the Acquired Companies as it was conducted during the periods covered by the Financial Statements, as conducted since and as contemplated to be conducted, complies with all zoning laws and is not dependent on a permitted nonconforming use or permitted nonconforming structure or similar variance, exemption or Authorization. The change of ownership of the Company pursuant to this Agreement will not require any Acquired Company to make any addition or modification to any of the Leased Real Property under applicable Laws or under any Real Property Lease or other Contract, or adversely affect the use of such property if the addition or modification is not made.
