Common use of Non-Survival of Representations, Warranties, Covenants and Agreements Clause in Contracts

Non-Survival of Representations, Warranties, Covenants and Agreements. The representations, warranties, covenants and agreements of the parties hereto contained in this Agreement shall terminate at the Effective Time or upon termination of this Agreement pursuant to Article IX, except that the agreements set forth in Article I, Section 6.07 and Section 6.13 shall survive the Effective Time indefinitely, and those set forth in Section 9.03 and this Article X hereof shall survive termination indefinitely.

Non-Survival of Representations, Warranties, Covenants and Agreements. The All representations, warranties, covenants and agreements of the parties hereto contained set forth in this Agreement shall terminate at the Effective Time or upon termination of this Agreement pursuant to Article IXX, as the case may be, except that the agreements set forth in Article Articles I, Section 6.07 II and Section 6.13 III and Sections 8.4, 8.5, 8.7, 8.10 and Article XI shall survive the Effective Time indefinitely, and those set forth in or referred to in Section 9.03 and this Article X hereof 10.5 shall survive termination indefinitelytermination. All covenants and agreements set forth in this Agreement shall survive in accordance with their terms.
