Non-Survival of Representations and Warranties and Covenants. If the Merger is consummated, the representations and warranties of the Company, Acquirer and Sub contained in this Agreement and the certificates contemplated by this Agreement shall expire and be of no further force or effect as of the Closing. If the Merger is consummated, all covenants of the parties hereto shall expire and be of no further force or effect as of the Closing, except to the extent such covenants provide that they are to be performed after the Closing.
