Non-Solicitation Obligations. During the period of time beginning on the Closing Date and ending on the second anniversary thereof (the “Restricted Period”), Seller shall not and shall cause its subsidiaries which it has the ability to cause to comply with this covenant (collectively, its “Restricted Subsidiaries”) not to solicit for employment or hire any individual employed by the Company as of the Closing; provided, that this Section 5.15(a) shall not preclude Seller and its Restricted Subsidiaries from soliciting for employment or hiring any such employee (i) who responds to a general solicitation through a medium, online website or general or mass mailing by or on behalf of Seller or its Restricted Subsidiaries that is not targeted at employees of the Company or (ii) whose employment has been terminated by any of Purchaser, the Company or the Affiliates of either.
