Common use of Non-Raid Clause in Contracts

Non-Raid. Each of Seller and ▇▇▇▇▇▇▇ covenants and agrees that -------- it or he shall not, for a period of five years from and after the Closing Date, working alone or in conjunction with one or more other persons or entities, for compensation or not, hire, recruit or otherwise solicit or induce any person or entity who is an employee or Vendor of Seller on the Closing Date or within the six months immediately preceding the Closing Date had been an employee or Vendor of Seller, or who is an employee or Vendor of Buyer or any of its subsidiaries or affiliates after the Closing Date, to terminate their employment with, or otherwise cease or reduce their relationship with, Seller or Buyer or any of its subsidiaries or affiliates, as the case may be. As used in this Section 6.1, the term "Vendor" means (i) any third party selling or licensing a product or ------ service to a Customer or to Seller on or prior to the Closing Date; or (ii) any third party selling or licensing a product or service to a Customer or to Buyer or any of its subsidiaries or affiliates after the Closing Date.
