Common use of Non-Foreign Certification Clause in Contracts

Non-Foreign Certification. Each party shall execute a certification under penalty of perjury in the form of and upon the terms set forth in Exhibit D, attached hereto and incorporated herein by reference (the ―FIRPTA‖), setting forth the party's address and certifying that each is not a "foreign person" in accordance with and/or for the purpose of the provisions of Section 1445 (as may be amended) of the Internal Revenue Code of 1986, as amended, and any regulations promulgated thereunder, and a State of California Form 597 (the ―CA 597‖).
