Common use of Non-Assignability; Binding Effect Clause in Contracts

Non-Assignability; Binding Effect. The provisions of this Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and permitted assigns; provided, that neither this Agreement nor any right, remedy, obligation or liability arising hereunder or by reason hereof may be assigned, delegated or otherwise transferred other than in connection with a Transfer of a Unit permitted pursuant to Article 9.

Non-Assignability; Binding Effect. Any attempted assignment in violation of this Section 13.08 shall be null and void.

Non-Assignability; Binding Effect. The This Agreement is assignable, in part or in whole, only concurrently with a valid assignment of Membership Interests. A purported assignment of this Agreement or any of the rights, interests or obligations hereunder not in compliance with the provisions of this Agreement shall be binding upon null and void ab initio. Subject to the foregoing, this Agreement shall inure to the benefit of and be binding upon the parties hereto Members and their respective successors and permitted assigns; provided, that neither this Agreement nor any right, remedy, obligation or liability arising hereunder or by reason hereof may be assigned, delegated or otherwise transferred other than in connection with a Transfer of a Unit permitted pursuant to Article 9.
