Neither the execution, --------------------------- delivery or performance of this Agreement or the Operating Lease by Seller, nor compliance with the terms and provisions hereof or thereof, will result in any breach of the terms, conditions or provisions of, or conflict with or constitute a default under, or result in the creation of any lien, charge or encumbrance upon the Property pursuant to the terms of any indenture, mortgage, deed of trust, note, evidence of indebtedness or any other agreement or instrument by which Seller is bound.

No Violations of Agreements. Neither the execution, --------------------------- delivery or performance of this Agreement or the Operating Lease by Seller, nor compliance with the terms and provisions hereof or thereofhereof, will result in any breach of the terms, conditions or provisions of, or conflict with or constitute a default under, or result in the creation of any lien, charge or encumbrance upon the Property or any portion thereof pursuant to the terms of any indenture, deed to secure debt, mortgage, deed of trust, note, evidence of indebtedness or any other material agreement or instrument by which Seller is bound.

No Violations of Agreements. Neither the execution, --------------------------- delivery or performance of this Agreement or the Operating Lease Closing Documents by SellerBuyer, nor compliance with the terms and provisions hereof or thereof, will result in any breach of the terms, conditions or provisions of, or conflict with or constitute a default under, or result in the creation of any lien, or charge upon any property or encumbrance upon the Property assets of Buyer pursuant to the terms of any indenture, mortgage, deed of trust, note, evidence of indebtedness or any other agreement or instrument by which Seller Buyer is bound.

No Violations of Agreements. Neither the execution, --------------------------- delivery or performance of this Agreement or by the Operating Lease by SellerTenant, nor compliance with the terms and provisions hereof or thereofhereof, will result in any breach of the terms, conditions or provisions of, of or conflict with or constitute a default under, or result in the creation of any lien, charge or encumbrance upon any property or assets of the Property Tenant pursuant to the terms of any indenture, mortgage, deed of trust, note, evidence of indebtedness or any other agreement or instrument by which Seller the Tenant is bound.

No Violations of Agreements. Neither the execution, --------------------------- delivery or performance of this Agreement or the Operating Lease OTAs by SellerPurchaser, nor compliance with the terms and provisions hereof or thereofhereof, will result in any breach of the terms, conditions or provisions of, or conflict with or constitute a default under, or result in the creation of any lien, charge or encumbrance upon the Property or assets of Purchaser pursuant to the terms of any indenture, mortgage, deed of trust, note, evidence of indebtedness or any other agreement or instrument by which Seller Purchaser is bound.

Neither the execution, --------------------------- delivery or performance of this Agreement or the Operating Lease by SellerSeller and/or Existing Operator, nor compliance with the terms and provisions hereof or thereofhereof, will result in any breach of the terms, conditions or provisions of, or conflict with or constitute a default under, or result in the creation of any lien, charge or encumbrance upon any of the Property Properties pursuant to the terms of any indenture, mortgage, deed of trust, note, evidence of indebtedness or any other agreement or instrument by which either Seller or Existing Operator is bound.

No Violations of Agreements. Neither the execution, --------------------------- delivery or performance of this Agreement or by any of the Operating Lease by SellerSellers, nor compliance with the terms and provisions hereof or thereofhereof, will result in any breach of the terms, conditions or provisions of, or conflict with or constitute a default under, or result in the creation of any lien, charge or encumbrance upon any of the Property Properties pursuant to the terms of any indenture, mortgage, deed of trust, note, evidence of indebtedness or any other agreement or instrument by which Seller any of the Sellers is bound.

No Violations of Agreements. Neither the execution, --------------------------- delivery or performance of this Agreement or the Operating Lease by SellerPurchaser, nor compliance with the terms and provisions hereof or thereofof the Operating Lease, will result in any breach of the terms, conditions or provisions of, or conflict with or constitute a default under, or result in the creation of any lien, charge or encumbrance upon the Property any property or assets of Purchaser pursuant to the terms of any indenture, mortgage, deed of trust, note, evidence of indebtedness or any other agreement or instrument by which Seller Purchaser is bound.

No Violations of Agreements. Neither the execution, --------------------------- delivery or performance of this Agreement or the Operating Lease by Seller, nor compliance with the terms and provisions hereof hereof, do or thereof, will result in any breach of the terms, conditions or provisions of, or conflict with or constitute a default underunder any applicable law or regulation, or result in the creation of any lienjudgment, charge or encumbrance upon the Property pursuant to the terms of any indenture, mortgage, deed of trust, note, evidence of indebtedness or any other agreement or instrument by which Seller Owner or Tenant is bound, or result in the creation of any lien, charge or encumbrance upon the Property or any other assets of Owner or Tenant.

No Violations of Agreements. Neither the execution, --------------------------- delivery or performance of this Agreement or the Operating Lease by Seller, nor compliance with the terms and provisions hereof or thereofhereof, will result in any breach of the terms, conditions or provisions of, or conflict with or constitute a default under, or result in the creation of any lien, charge or encumbrance upon any of the Property Properties pursuant to the terms of any indenture, mortgage, deed of trust, note, evidence of indebtedness or any other agreement or instrument by which such Seller is bound.

Neither the execution, --------------------------- delivery or performance of this Agreement by the Company or the Operating Lease by SellerShareholder, nor compliance with the terms and provisions hereof or thereofhereof, will result in any breach of the terms, conditions or provisions of, or conflict with or constitute a default under, or result in the creation of any lien, charge or encumbrance upon the Property Company pursuant to the terms of any indenture, mortgage, deed of trust, note, evidence of indebtedness or any other agreement or instrument by which Seller the Company or Shareholder is bound.

No Violations of Agreements. Neither Except as provided in Schedule 4.1(c) hereto, neither the execution, --------------------------- delivery or performance of this Agreement or the Operating Lease by Seller, nor compliance with the terms and provisions hereof or thereofhereof, will result in any breach of the terms, conditions or provisions of, or conflict with or constitute a default under, or result in the creation of any lien, charge or encumbrance upon the Property or any portion thereof pursuant to the terms of any indenture, deed to secure debt, mortgage, deed of trust, note, evidence of indebtedness or any other agreement or instrument by which Seller is bound.

Neither the execution, --------------------------- delivery or performance of this Agreement or the Operating Lease by SellerTenant, nor compliance with the terms and provisions hereof or thereofhereof, will result in any breach of the terms, conditions or provisions of, or conflict with or constitute a default under, or result in the creation of any lien, charge or encumbrance upon Tenant or the Leased Property pursuant to the terms of any indenture, mortgage, deed of trust, note, evidence of indebtedness or any other material agreement or instrument by which Seller Tenant or, to Tenant's knowledge, the Leased Property is bound.

No Violations of Agreements. Neither the execution, --------------------------- delivery or --------------------------- performance of this Agreement or the Operating Lease by Seller, nor compliance with the terms and provisions hereof or thereofhereof, will result in any breach of the terms, conditions or provisions of, or conflict with or constitute a default under, or result in the creation of any lien, charge or encumbrance upon the Property or any portion thereof pursuant to the terms of any indenture, deed to secure debt, mortgage, deed of trust, note, evidence of indebtedness or any other agreement or instrument by which Seller is bound.

Neither the execution, --------------------------- delivery or performance of this Agreement or the Operating Lease by SellerSellers, nor compliance with the terms and provisions hereof or thereofhereof, will result in any breach of the terms, conditions or provisions of, or conflict with or constitute a default under, or result in the creation of any lien, charge or encumbrance upon any of the Property Properties pursuant to the terms of any indenture, mortgage, deed of trust, note, evidence of indebtedness or any other agreement or instrument by which Seller is such Sellers are bound.

No Violations of Agreements. Neither the execution, --------------------------- delivery or performance of this Agreement or the Operating Lease by Seller, nor compliance with the terms and provisions hereof or thereofhereof, will result in any breach of the terms, conditions or provisions of, or conflict with or constitute a default under, or result in the creation of any lien, charge or encumbrance upon the Langhorne Property pursuant to the terms of any indenture, mortgage, deed of trust, note, evidence of indebtedness or any other agreement or instrument by which Seller is bound.

Neither the execution, --------------------------- delivery or performance of this Agreement or the Operating Lease any other document to be executed, delivered or performed by SellerSeller hereunder, nor compliance with the terms and provisions hereof or thereof, will result in any breach of the terms, conditions or provisions of, or conflict with or constitute a default under, or result in the creation of any lien, charge or encumbrance upon the Property Premises pursuant to the terms of any indenture, mortgage, deed of trust, note, evidence of indebtedness or any other agreement or instrument by which Seller is bound.

Neither the execution, --------------------------- delivery or performance of this Agreement or the Operating Lease by SellerAgreement, nor compliance with the terms and provisions hereof or thereofhereof, will result in any breach of the terms, conditions or provisions of, or conflict with or constitute a default under, or result in the creation of any lien, charge or encumbrance upon the Property Seller’s property pursuant to the terms of any indenture, mortgage, deed of trust, note, evidence of indebtedness or any other agreement or instrument by which Seller it is bound.

Neither the execution, --------------------------- delivery or performance of this Agreement or the Operating Lease by SellerTenant, nor compliance with the terms and provisions hereof or thereofhereof, will result in any breach of the terms, conditions or provisions of, or conflict with or constitute a default under, or result in the creation of any lien, charge or encumbrance upon the Leased Property pursuant to the terms of any indenture, mortgage, deed of trust, note, evidence of indebtedness or any other material agreement or instrument by which Seller Tenant is bound.

No Violations of Agreements. Neither the execution, --------------------------- delivery or performance of this Agreement or the Operating Lease by Seller, nor compliance with the terms and provisions hereof or thereofhereof, will result in any breach of the terms, conditions or provisions of, or conflict with or constitute a default under, or result in the creation of any lien, charge or encumbrance upon the Property or any portion thereof pursuant to the terms of any indenture, deed to secure debt, mortgage, deed of trust, note, security agreement, evidence of indebtedness or any other agreement or instrument by which Seller is bound.

No Violations of Agreements. Neither the execution, --------------------------- delivery or performance of this Agreement or the Operating Lease by Seller, nor compliance with the terms and provisions hereof or thereofhereof, will result in any breach of the terms, conditions or provisions of, or conflict with or constitute a default under, or result in the creation of any lien, charge or encumbrance upon the Pomona Property pursuant to the terms of any indenture, mortgage, deed of trust, note, evidence of indebtedness or any other agreement or instrument by which Seller is bound.

No Violations of Agreements. Neither the execution, --------------------------- delivery or performance of this Agreement or the Operating Lease by Seller, nor compliance with the terms and provisions hereof or thereofhereof, will result in any breach of the terms, conditions or provisions of, or conflict with or constitute a default under, or result in the creation of any lien, charge or encumbrance upon any of the Property Properties pursuant to the terms of any indenture, mortgage, deed of trust, note, evidence of indebtedness or any other agreement or instrument by which the Seller is bound.

No Violations of Agreements. Neither the execution, --------------------------- delivery or performance of this Agreement by Seller or of the Operating Lease by SellerTenant, nor compliance with the terms and provisions hereof or thereof, will result in any breach of the terms, conditions or provisions of, or conflict with or constitute a default under, or result in the creation of any lien, charge or encumbrance upon the any Property pursuant to the terms of any indenture, mortgage, deed of trust, note, evidence of indebtedness or any other agreement or instrument by which Seller or Tenant is bound, except pursuant to the Lease or this Agreement.

No Violations of Agreements. Neither None of the execution, --------------------------- delivery or performance of this Agreement or any other document to be executed, delivered or performed by the Operating Lease by SellerSeller hereunder, nor compliance with the terms and provisions hereof or thereof, will result in any breach of the terms, conditions or provisions of, or conflict with or constitute a default under, or result in the creation of any lien, charge or encumbrance upon the Property pursuant to the terms of any indenture, mortgage, deed of trust, note, evidence of indebtedness or any other agreement or instrument by which the Seller or the Property is bound.

No Violations of Agreements. Neither None of the execution, --------------------------- delivery or performance of this Agreement or the Operating Lease any other document to be executed, delivered or performed by SellerSeller hereunder, nor compliance with the terms and provisions hereof or thereof, will result in any breach of the terms, conditions or provisions of, or conflict with or constitute a default under, or result in the creation of any lien, charge or encumbrance upon the Property pursuant to to, the terms of any indenture, mortgage, deed of trust, note, evidence of indebtedness or any other agreement or instrument by which Seller or the Property is bound.

No Violations of Agreements. Neither the execution, --------------------------- delivery or performance of this Agreement or the Operating Lease by any Seller, nor compliance with the terms and provisions hereof or thereofhereof, will result in any breach of the terms, conditions or provisions of, or conflict with or constitute a default under, or result in the creation of any lien, charge or encumbrance upon any of the Property Properties pursuant to the terms of any indenture, mortgage, deed of trust, note, evidence of indebtedness or any other agreement or instrument by which any Seller is bound.

No Violations of Agreements. Neither the execution, --------------------------- delivery or --------------------------- performance of this Agreement or by the Operating Lease by SellerCompany, nor compliance with the terms and provisions hereof or thereofhereof, will result in any breach of the terms, conditions or provisions of, or conflict with or constitute a default under, or result in the creation of any lien, charge or encumbrance upon any property or assets of the Property Company pursuant to the terms of any indenture, mortgage, deed of trust, note, evidence of indebtedness or any other agreement or instrument by which Seller the Company is bound.

No Violations of Agreements. Neither the execution, --------------------------- delivery or performance of this Agreement or the Operating Lease OTAs by Seller, nor compliance with the terms and provisions hereof or thereofby Seller, will result in any breach of the terms, conditions or provisions of, or conflict with or constitute a default under, or result in the creation of any lien, charge or encumbrance upon any of the Property Properties pursuant to the terms of any indenture, mortgage, deed of trust, note, evidence of indebtedness or any other agreement or instrument by which Seller is bound.
