Common use of No Violation of Orders Clause in Contracts

No Violation of Orders. No preliminary or permanent injunction or other order issued by any court or governmental or regulatory authority, nor any statute, rule, regulation, decree or executive order promulgated or enacted by any Governmental Body, that declares this Agreement invalid or unenforceable in any material respect or that prevents the consummation of the transactions contemplated hereby; and no action or proceeding before any Governmental Body shall have been instituted or, to the knowledge of the Sellers, threatened by any Governmental Body, or by any other Person, which seeks to prevent or delay the consummation of the transactions contemplated by this Agreement or which challenges the validity or enforceability of this Agreement and which in any such case has a reasonable likelihood of success in the reasonable opinion of counsel to the Sellers.

No Violation of Orders. No temporary restraining order, preliminary or permanent injunction or other order issued by any a court of competent jurisdiction or governmental other legal restraint or regulatory authority, nor any statute, rule, regulation, decree or executive order promulgated or enacted by any Governmental Body, that declares this Agreement invalid or unenforceable in any material respect or that prevents prohibition preventing the consummation of the transactions contemplated herebyhereby shall be in effect; provided that any party invoking this condition shall have used commercially reasonable efforts to have any such order, injunction or restraint vacated or removed; and no action or proceeding before any Governmental Body Entity shall have been instituted or, to the knowledge of the Sellers, or threatened by any Governmental Body, Entity or by any other Person, person or entity which seeks to prevent or delay the consummation of the transactions contemplated by this Agreement or Agreement, which challenges the validity or enforceability of this Agreement or which seeks material damages or other recourse against SAVVIS Parent, the Sellers, the Company or the Buyer and its Affiliates, and which in any such case case, has a reasonable likelihood of success in the reasonable opinion of counsel to the SellersBuyer.
