Common use of No Transfer of Voting Rights Clause in Contracts

No Transfer of Voting Rights. Stockholder agrees that, during the period from the date of this Agreement through and including the Expiration Date, Stockholder shall not deposit (or cause or permit the deposit of) any Shares or Options in a voting trust or grant (or cause or permit the grant of) any proxy or enter into (or cause or permit the entry into) any voting agreement or similar agreement with respect to any of the Shares or Options other than as contemplated by this Agreement, Proxy and the Merger Agreement.

No Transfer of Voting Rights. The Stockholder hereby agrees that, during at all times commencing with the period from the date execution and delivery of this Agreement through and including until the Expiration Date, the Stockholder shall not deposit (or cause deposit, or permit the deposit of) , any Shares or Options in a voting trust or trust, grant (or cause or permit the grant of) any proxy in respect of the Shares, or enter into (or cause or permit the entry into) any voting agreement or similar agreement arrangement or commitment with respect to any of the Shares or Options (other than as contemplated by than, in each case, this Agreement, Proxy Agreement and the Merger AgreementProxy (as defined in Section 4)).

This Section 3 shall not prohibit Transfers permitted by Section 2 of this Agreement.

The Stockholder hereby agrees that, during at all times commencing with the period from the date execution and delivery of this Agreement through and including until the Expiration Date, the Stockholder shall will not, and will cause its Affiliates not deposit to, (or cause i) deposit, or permit the deposit of) , any Shares or Options in into a voting trust or trust; (ii) grant (or cause or permit the grant of) any proxy or power of attorney in respect of the Shares; or (iii) enter into (or cause or permit the entry into) any voting agreement or similar agreement contract (other than this Agreement) to vote, consent or give instructions with respect to any Shares in contravention of the Shares or Options other than as contemplated by obligations of the Stockholder under this Agreement, Proxy and the Merger Agreement.

This Section 3 shall not prohibit Transfers permitted by Section 2 of this Agreement.
