No Transaction. This Agreement shall not constitute nor shall be construed as constituting an offer or commitment to enter into any discussion or conclude any other agreement rather than this Agreement.
No Transaction. The rights and obligations of the parties will not merge on completion of any transaction under this Agreement. They will survive the execution and delivery of any assignment or other document entered into for the purpose of implementing any transaction.
No Transaction. Unless and until a definitive agreement regarding a Transaction between Disclosing Party and Receiving Party has been executed and delivered, no contract or agreement providing for a Transaction shall be deemed to exist between Receiving Party and Disclosing Party, and neither Disclosing Party nor Receiving Party will be under any legal obligation of any kind whatsoever with respect to such Transaction by virtue of this or any written or oral expression thereof, except in the case of this Agreement, for the matters specifically agreed to herein. Disclosing Party reserves the right, in its sole discretion, to reject any and all proposals made by Receiving Party with regard to such Transaction, and to terminate discussions and negotiations with Receiving Party at any time. For purposes of this Agreement, the term “definitive agreement” does not include an executed letter of intent or any other preliminary written agreement, nor does it include any written or verbal acceptance of an offer or bid.
No Transaction. For the avoidance of doubt, no TCB shall be payable in connection with a corporate restructuring, recapitalization, or reorganization that does not constitute a Change in Control transaction as defined herein.
No Transaction. In the event the Company decides, in its sole discretion, not to pursue a Transaction, it may so notify you. Upon receipt of such notice, this Agreement will terminate, you will not be entitled to any payment hereunder, and you will return to at-will employment status.
