Common use of No Set-off Right Clause in Contracts

No Set-off Right. Buyer shall not, and acknowledges that it will have no right, under this Agreement, any Purchase Order, any other agreement, document or Law to, withhold, offset, recoup or debit any amounts owed (or to become due and owing) to Seller or any of its Affiliates, whether under this Agreement or otherwise, against any other amount owed (or to become due and owing) to it by Seller or Seller’s Affiliates, whether relating to Seller’s or its Affiliates’ breach or non-performance of this Agreement, any Purchase Order, any other agreement between (a) Buyer or any of its Affiliates and (b) Seller or any of its Affiliates, or otherwise.

Buyer Reseller shall not, and acknowledges that it will have has no right, under this Agreement, any Purchase Order, any other agreement, document or Law Law, to, withhold, offset, recoup or debit any amounts owed (or to become due and owing) to Seller Supplier or any of its Affiliates, whether under this Agreement or otherwise, against any other amount owed (or to become due and owing) to it by Seller Supplier or Seller’s Supplier s Affiliates, whether relating to Seller’s Supplier s or its Affiliates’ Affiliates breach or non-performance of this Agreement, any Purchase Order, any other agreement between (a) Buyer Reseller or any of its Affiliates and (b) Seller Supplier or any of its Affiliates, or otherwise.

Buyer and Manufacturer shall not, and each acknowledges that it will have no right, under this Agreement, any Purchase Order, any other agreement, document or Law to, withhold, offset, recoup or debit any amounts owed (or to become due and owing) to Seller Buyer or Manufacturer, as applicable or any of its their respective Affiliates, whether under this Agreement or otherwise, against any other amount owed (or to become due and owing) to it either of them by Seller the other Party or Seller’s the other Party's Affiliates, whether relating to Seller’s Buyer, Manufacturer or its their Affiliates’ ' breach or non-performance of this Agreement, any Purchase Order, any other agreement between (a) Buyer Buyer, Manufacturer or any of its Affiliates their Affiliates, as applicable, and (b) Seller Buyer, Manufacturer or any of its their Affiliates, as applicable, or otherwise.
