No Scheme Sample Clauses
The "No Scheme" clause prohibits the parties from engaging in or facilitating any arrangement, plan, or scheme that would circumvent the intended structure or purpose of the agreement. In practice, this means that neither party can create side agreements, use third parties, or otherwise act in a way that would undermine the contractual obligations or benefits set out in the main contract. This clause is essential for maintaining the integrity of the agreement, ensuring that both parties adhere to its terms and preventing attempts to avoid responsibilities or gain unfair advantages through indirect means.
No Scheme. The transactions contemplated by this Agreement:
(a) have not been pre-arranged with a purchaser located in the United States, its territories or possessions, or who is a U.S. Person; and
(b) are not part of a plan or scheme to evade the registration provisions of the 1933 Act.
No Scheme. The current structure of this transaction and all transactions and activities contemplated hereunder is not a scheme to avoid the registration requirements of the U.S. Securities Act.
