No Restrictions on Agreement. The execution and carrying out of this Agreement and compliance with the terms and provisions hereof by Isodiol will not conflict with or result in any material breach of any of the terms, conditions, or provision of, or constitute a default under, or result in the creation of, any lien, charge or encumbrance upon any of the property or assets of Isodiol or any of its subsidiaries pursuant to any corporate charter, bylaw, indenture, mortgage, agreement (other than that which is created by virtue of this Agreement), or other instrument to which Isodiol is a party or by which it is bound or affected.
