The Administrative Agent shall have no duty to disclose, and shall have no liability for the failure to disclose, to the Lenders information that is not required to be furnished by the Borrower to the Administrative Agent at such time, but is voluntarily furnished by the Borrower to the Administrative Agent (either in its capacity as Administrative Agent or in its individual capacity) or any of its Affiliates.

The Administrative Agent shall agrees to provide to the Lenders copies of all information it receives from the Company under Section 5.05 that is not otherwise delivered by the Company to the Lenders. Neither the Administrative Agent nor the Issuing Bank shall, however, have no any duty to disclose, and shall have no liability for the failure to disclose, disclose to the Lenders information that is not required to be furnished by the Borrower Company or any of its Subsidiaries to the Administrative Agent or the Issuing Bank at such time, but is voluntarily furnished by the Borrower Company or any of its Subsidiaries to the Administrative Agent or the Issuing Bank (either in its capacity as Administrative Agent or the Issuing Bank, as applicable, or in its individual capacity) or any of its Affiliates).

Anything contained in this Agreement to the contrary notwithstanding, Administrative Agent shall not have any liability arising from confirmations of the amount of outstanding Loans or any the Letter of its AffiliatesCredit Usage or the component amounts thereof.

No Responsibility for Loans, Recitals, etc. Neither the Administrative Agent nor any of its directors, officers, agents or employees shall be responsible for or have any duty to ascertain, inquire into, or verify (a) any statement, warranty or representation made in connection with any Loan Document or any borrowing hereunder; (b) the performance or observance of any of the covenants or agreements of any obligor under any Loan Document, including, without limitation, any agreement by an obligor to furnish information directly to each Lender; (c) the satisfaction of any condition specified in Article IV, except receipt of items required to be delivered solely to the Administrative Agent; (d) the existence or possible existence of any Default or Unmatured Default; (e) the validity, enforceability, effectiveness, sufficiency or genuineness of any Loan Document or any other instrument or writing furnished in connection therewith; (f) the value sufficiency, creation, perfection or priority of any Lien in any collateral security; or (g) the financial condition of the Borrower, any Subsidiary or any guarantor of any of the Obligations or of any of the Borrower’s, such Subsidiary’s or any such guarantor’s respective Subsidiaries. Anything contained in this Agreement to the contrary notwithstanding, Administrative Agent shall not have any liability arising from confirmations of the amount of outstanding Loans or any the Letter of its AffiliatesCredit Usage or the component amounts thereof.

The Administrative Agent shall have no duty to disclose, and shall have no liability for the failure to disclose, disclose to the Lenders Banks information that is not required to be furnished by the Borrower to the Administrative Agent at such time, but is voluntarily furnished by the Borrower to the Administrative Agent JPMorgan (either in its capacity as Administrative Agent or in its individual capacity) ). Except as expressly set forth herein, Administrative Agent shall not have any duty to disclose, and shall not be liable for the failure to disclose, any information relating to any Credit Party that is communicated to or obtained by it or any of its Affiliates.

No Responsibility for Loans, Recitals, etc. Neither the Administrative Agent nor any of its directors, officers, agents or employees shall be responsible for or have any duty to ascertain, inquire into, or verify (a) any statement, warranty or representation made in connection with any Loan Document or any borrowing hereunder or any issuance, amendment or extension of a Facility Letter of Credit hereunder; (b) the performance or observance of any of the covenants or agreements of any obligor under any Loan Document, including, without limitation, any agreement by an obligor to furnish information directly to each Lender; (c) the satisfaction of any condition specified in Article IVV, except receipt of items required to be delivered solely to the Administrative Agent; (d) the existence or possible existence of any Default or Unmatured Default; (e) the validity, enforceability, effectiveness, sufficiency or genuineness of any Loan Document or any other instrument or writing furnished in connection therewith; (f) the value value, sufficiency, creation, perfection or priority of any Lien in any collateral security; or (g) the financial condition of the Borrower, any Subsidiary the Company or any guarantor of any of the Obligations other Loan Party or of any of the Borrower’s, such Subsidiary’s or any such guarantor’s their respective Subsidiaries. The Administrative Agent shall promptly disclose to the Lenders all information furnished by the Borrower or the Company pursuant to the requirements of this Agreement but shall have no duty to disclose, and shall have no liability for the failure to disclose, disclose to the Lenders information that is not required to be furnished by the Borrower or the Company to the Administrative Agent at such time, but that is voluntarily furnished by the Borrower or the Company to the Administrative Agent (either in its capacity as Administrative Agent or in its individual capacity) or any of its Affiliates).

The Administrative Agent shall have no duty to disclose, and shall have no liability for the failure to disclose, disclose to the Lenders information that is not required to be furnished by the Borrower Borrowers to the Administrative Agent at such time, but is voluntarily furnished by the either Borrower to the Administrative Agent (either in its capacity as Administrative Agent or in its individual capacity) or any of its Affiliates).

No Responsibility for Loans, Recitals, etc. Neither the Administrative Agent nor any of its directors, officers, agents or employees shall be responsible for or have any duty to ascertain, inquire into, or verify (a) any statement, warranty or representation made in connection with any Loan Document or any borrowing hereunder; (b) the performance or observance of any of the covenants or agreements of any obligor under any Loan Document, including, without limitation, any agreement by an obligor to furnish information directly to each Lender; (c) the satisfaction of any condition specified in Article IVIII, except receipt of items required to be delivered solely to the Administrative Agent; (d) the existence or possible existence of any Program Event of Default or Unmatured Default; (e) the validity, enforceability, effectiveness, sufficiency or genuineness of any Loan Document or any other instrument or writing furnished in connection therewith; (f) the value value, sufficiency, creation, perfection or priority of any Lien in any collateral security; or (g) the financial condition of the Borrower, any Subsidiary Borrower or any guarantor of any of the Obligations Guarantor or of any of the Borrower’s, such Subsidiary’s or any such guarantor’s Guarantors' respective Subsidiaries. The Administrative Agent shall have no duty to disclose, and shall have no liability for the failure to disclose, disclose to the Lenders information that is not required to be furnished by the Borrower to the Administrative Agent at such time, but is voluntarily furnished by the Borrower to the Administrative Agent (either in its capacity as Administrative the Agent or in its individual capacity). The Agent shall promptly deliver to the Lenders any documents delivered to the Agent by the Company or the REIT pursuant to subsection 5.01(a) or any of its Affiliatesherein.

The Agent shall with reasonable promptness deliver to the Lenders (unless the Borrower has furnished the same directly to the Lenders) copies of any materials furnished to the Agent by the Borrower pursuant to the requirements of this Agreement, including without limitation those provided for in Sections 6.1, 6.10, 6.11 and 6.12, but the Obligations or of any of the Borrower’s, such Subsidiary’s or any such guarantor’s respective Subsidiaries. The Administrative Agent shall have no duty to disclose, and shall have no liability for the failure to disclose, disclose to the Lenders information that is not required to be furnished by the Borrower Borrower, the Partnership or the REIT to the Administrative Agent at such time, but is voluntarily furnished by the Borrower Borrower, the Partnership or the REIT to the Administrative Agent (either in its capacity as Administrative the Agent or in its individual capacity) or any of its Affiliates).

No Responsibility for Loans, Recitals, etc. Neither the Administrative Agent nor any of its directors, officers, agents or employees shall be responsible for or have any duty to ascertain, inquire into, or verify (ai) any statement, warranty or representation made by anyone other than the Administrative Agent or one of its Affiliates in connection with any Loan Document or any borrowing hereunder; (bii) the performance or observance of any of the covenants or agreements of any obligor under any Loan Document, including, without limitation, any agreement by an obligor to furnish information directly to each Lender; (ciii) the satisfaction of any condition specified in Article IV, except receipt of items required to be delivered solely to the Administrative Agent; (d) the existence or possible existence of any Default or Unmatured Default; (eiv) the validity, enforceability, effectiveness, sufficiency effectiveness or genuineness of any Loan Document or any other instrument or writing furnished in connection therewiththerewith with respect to anyone other than the Administrative Agent or one of its Affiliates; (fv) the value value, sufficiency, creation, perfection perfection, or priority of any Lien interest in any collateral security; or (gvi) the financial condition of the Borrower, any Subsidiary Borrower or any guarantor of any of Guarantor. Except as otherwise specifically provided herein, the Obligations or of any of the Borrower’s, such Subsidiary’s or any such guarantor’s respective Subsidiaries. The Administrative Agent shall have no duty to disclose, and shall have no liability for the failure to disclose, disclose to the Lenders information that is not required to be furnished by the Borrower to the Administrative Agent at such time, but is voluntarily furnished by the Borrower to the Administrative Agent (either in its capacity as Administrative Agent or in its individual capacity) or any of its Affiliates). 10.5.

No Responsibility for Loans, Recitals, etc. Neither the Administrative Agent nor any of its directors, officers, agents or employees shall be responsible for or have any duty to ascertain, inquire into, or verify (a) any statement, warranty or representation made in connection with any Loan Document or any borrowing hereunder; (b) the performance or observance of any of the covenants or agreements of any obligor under any Loan Document, including, without limitation, any agreement by an obligor to furnish information directly to each LenderBank; (c) the satisfaction of any condition specified in Article IVIII, except receipt of items required to be delivered solely to the Administrative Agent; (d) the existence or possible existence of any Default or Unmatured Event of Default; (e) the validity, enforceability, effectiveness, sufficiency or genuineness of any Loan Document or any other instrument or writing furnished in connection therewith; , or (f) the value sufficiency, creation, perfection or priority of any Lien in any collateral security; or (g) the financial condition of the Borrower, any Subsidiary or any guarantor of any of the Obligations Borrower or of any of the Borrower’s, such Subsidiary’s or any such guarantor’s respective 's Subsidiaries. The Administrative Agent shall have no duty to disclose, and shall have no liability for the failure to disclose, disclose to the Lenders Banks information that is not required to be furnished by the Borrower to the Administrative Agent at such time, but is voluntarily furnished by the Borrower to the Administrative Agent (either in its capacity as Administrative the Agent or in its individual capacity) ). No Agent-Related Person shall be under any obligation to any Bank to ascertain or to inquire as to the observance or performance of any of the agreements contained in, or conditions of, this Agreement or any other Loan Document, or to inspect the properties, books or records of the Borrower or any of its the Borrower's Subsidiaries or Affiliates.

The Administrative Agent shall have no duty to disclose, and shall have no liability for the failure to disclose, disclose to the Lenders information that is not required to be furnished by the Borrower to the Administrative Agent at such time, but is voluntarily furnished by the Borrower to the Administrative Agent (either in its capacity as Administrative Agent or in its individual capacity) or any of its Affiliates).

Neither the Syndication Agent, any Documentation Agent, the Co-Lead Arrangers nor the Joint Book Managers shall have any duties or any of its Affiliatesobligations in that capacity under the Loan Documents.

The Administrative No Agent shall have no any duty to disclose, and shall have no liability for the failure to disclose, disclose to the Lenders information that is not required to be furnished by the Borrower Company to the Administrative such Agent at such time, but is voluntarily furnished by the Borrower Company to the Administrative such Agent (either in its capacity as Administrative Agent or Syndication Agent, as the case may be, or in its individual capacity) ). Anything contained in this Agreement to the contrary notwithstanding, Administrative Agent shall not have any liability arising from confirmations of the amount of outstanding Loans or any the Letter of its AffiliatesCredit Usage or the component amounts thereof.

The Administrative Agent shall have no duty to disclose, and shall have no liability for the failure to disclose, disclose to the Lenders or the LC Issuers information that is not required to be furnished by the Borrower Borrowers to the Administrative Agent at such time, but is voluntarily furnished by the Borrower Borrowers to the Administrative Agent (either in its capacity as Administrative Agent or in its individual capacity) capacity and except as expressly set forth herein, the Administrative Agent shall not have any duty to disclose, and shall not be liable for the failure to disclose, any information relating to either Borrower or any of their respective Subsidiaries that is communicated to or obtained by the Administrative Agent or any of its AffiliatesAffiliates in any capacity.

The Administrative Agent shall have no duty to disclose, and shall have no liability for the failure to disclose, disclose to the Lenders Banks information that is not required to be furnished by the Borrower to the Administrative Agent at such time, but is voluntarily furnished by the Borrower to the Administrative Agent JPMorgan Chase Bank, N.A. (either in its capacity as Administrative Agent or in its individual capacity) ). For purposes of determining compliance with the conditions specified in Article VI, each Bank shall be deemed to have consented to, approved or any of accepted or to be satisfied with, each document or other matter required thereunder to be consented to or approved by or acceptable or satisfactory to a Bank unless Administrative Agent shall have received written notice from such Bank prior to the proposed closing date specifying its Affiliatesobjection thereto.

The Administrative Agent shall agrees to provide to the Lenders copies of all information it receives from the Company under Section 5.05 that is not otherwise delivered by the Company to the Lenders. Neither the Administrative Agent nor any Issuing Bank shall, however, have no any duty to disclose, and shall have no liability for the failure to disclose, disclose to the Lenders information that is not required to be furnished by the Borrower Company or any of its Subsidiaries to the Administrative Agent or such Issuing Bank at such time, but is voluntarily furnished by the Borrower Company or any of its Subsidiaries to the Administrative Agent or such Issuing Bank (either in its capacity as Administrative Agent or Issuing Bank, as applicable, or in its individual capacity) or any of its Affiliates).
