Common use of No Ownership of Company Capital Stock Clause in Contracts

No Ownership of Company Capital Stock. As of the date of this Agreement, neither Parent nor any of its Subsidiaries, including Purchaser, own any shares of Company Common Stock or other securities of the Company.

As of the date of this Agreement, neither Parent nor any of its Subsidiaries, including PurchaserMerger Sub, own any shares of Company Common Stock Shares or other securities of the Company. For the avoidance of doubt, the Company acknowledges that Parent as well as certain Affiliates of Parent and/or the members of Parent own as of the date hereof 4,727,000 Company Shares (excluding those Company Shares to be purchased pursuant to the Stock Purchase Agreement).
