No Other Employment; Minimum Time Commitment. During the Period of Employment, the Executive shall (i) devote substantially all of the Executive’s business time, energy and skill to the performance of the Executive’s duties for the Company, (ii) perform such duties in a faithful, effective and efficient manner to the best of his abilities, and (iii) hold no other employment without the express written approval of the Board. The Executive’s service on the boards of directors (or similar body) of other business entities is subject to the approval of the Board. The Company shall have the right to require the Executive to resign from any board or similar body (including, without limitation, any association, corporate, civic or charitable board or similar body) which he may then serve if the Board reasonably determines that the Executive’s service on such board or body interferes with the effective discharge of the Executive’s duties and responsibilities to the Company or that any business related to such service is then in competition with any business of the Company or any of its Affiliates, successors or assigns.

The Executive agrees that, as of the date of execution of this Agreement, Exhibit A to this Agreement sets forth a complete and accurate description of (i) any investment or direct involvement of the Executive in any other corporation or business that reasonably could be construed as falling outside the scope of the foregoing permitted investments and involvement, and (b) any board of directors or similar body of any corporation or other entity on which the Executive is a member. The Corporation may require the Executive to resign from membership on any board or similar body of any entity, on which he may now or in the future serve, if the Corporation determines that the Executive’s membership on such board or similar body interferes (interference shall include, without limitation, giving rise to conflicts or competitive activity) with the performance of the Executive’s duties hereunder.

No Other Employment; Minimum Time Commitment. During the Period of Employment, Executive shall (i) devote substantially all of Executive’s business time, energy and skill to the performance of Executive’s duties for the Company, (ii) perform his duties in good faith , and (iii) hold no other employment; provided, however, that nothing in this Agreement shall limit or restrict Executive from (x) serving in his current capacity for Little & Xxxxxx, PLLC, (y) serving on boards of directors (or similar bodies) of other entities (including, without limitation, any association, corporate, civic, for profit or charitable board or similar body) or (z) management and direction of Executive’s personal investments, so long as (A) such activities do not interfere in any material respect with the effective discharge of Executive’s duties and responsibilities to the Company hereunder, (B) such activities are not in direct or indirect material competition with any business of the Company, any Affiliate or any of their respective successors or assigns and (C) Executive provides notice to the Officer of any significant outside business activity in which Executive plans to become involved, whether or not such activity is pursued for profit.
