Common use of No Other Employment; Minimum Time Commitment Clause in Contracts

No Other Employment; Minimum Time Commitment. During the Period of Employment, the Executive shall both (i) devote substantially all of the Executive’s business time, energy and skill to the performance of the Executive’s duties for the Company, and (ii) hold no other employment. It is anticipated that the Executive will serve on the boards of directors (or similar body) of other business, community or charitable organizations, and otherwise provide customary services (without compensation, other than as a director) thereto, subject to the prior written approval of the Board, which shall not be unreasonably withheld. The Company shall, however, have the right to require the Executive to resign from any board or similar body on which she may then serve, or any other position with any such entity, if the Board reasonably determines that the Executive’s service on such board or body, or other such service, interferes with the effective discharge of the Executive’s duties and responsibilities to the Company or that any business related to any such service is then in competition with any business of the Company or any of its affiliates, successors or assigns. Subject to the Company’s rights pursuant to the preceding sentence, the Company expressly approves and acknowledges Executive’s service on the board of Justrite Manufacturing Company, LLC, without the need for further Board action.

It is anticipated The Company acknowledges that the Executive will serve currently serves on two advisory boards. The Executive’s service on the boards of directors of other business (as opposed to non-profit) entities is subject to the approval of the Board. The Executive will give advance notice to the Board if he intends to accept a position as a member of a board of advisors (or similar body) of other business, community or charitable organizations, and otherwise provide customary services (without compensation, other than as a director) thereto, subject to the prior written approval of the Board, which shall not be unreasonably withheldany business entity. The Company shall, however, shall have the right to require the Executive to resign from or not accept a position as a member of, as the case may be, any board or similar body on (including, without limitation, any association, corporate, civic or charitable board or similar body) which she he may then serve, or any other position with any such entity, serve if the Board reasonably determines that the Executive’s service on such board or body, or other such service, body interferes with the effective discharge of the Executive’s duties and responsibilities to the Company or that any business related to any such service is then in competition with any business of the Company or any of its affiliatesAffiliates (as such term is defined in Section 5.5), successors or assigns.
