No Order or Proceeding. No Order by any Government Authority, threat by any Government Authority which is evidenced in writing, or Proceeding which in all reasonable likelihood might prohibit or render illegal Buyer's consummation of the transactions contemplated hereby shall be in effect; and
No Order or Proceeding. No Order shall be issued by and no Proceeding shall be pending before any Governmental Authority seeking or threatening to restrain or prohibit the consummation of the transactions contemplated by this Agreement, or involving a claim that consummation thereof would result in the violation of any Law of any Governmental Authority having appropriate jurisdiction.
No Order or Proceeding. No Governmental Body shall have enacted, issued, promulgated, enforced, or entered any Legal Requirement or Order which in effect prevents or prohibits consummation of the Contemplated Transactions or restricts the consummation of the Contemplated Transactions in a manner that would have a material adverse effect on a party. No Proceeding shall have been commenced or Threatened against any party (i) involving any challenge to, or seeking damages or other relief in connection with, any Contemplated Transaction or (ii) that may have the effect of preventing, delaying, prohibiting, or otherwise interfering with any Contemplated Transaction.
No Order or Proceeding. No Order shall be outstanding, and no Proceeding shall be pending, threatened or anticipated against Buyer or Seller which would prohibit, invalidate or attempt to enjoin, or materially adversely affect, the Transaction.
No Order or Proceeding. No Order shall have been enacted, entered or promulgated (and remain in effect) or shall have been enforced by any Governmental Entity which prohibits or restricts the consummation of the transactions contemplated hereby. No action or proceeding by any Governmental Entity shall have been commenced (and remain pending) against Buyer, Seller or the Company seeking to prevent, delay or materially change the transactions contemplated hereby or challenging any of the terms or provisions of this Agreement or seeking material damages in connection therewith.
No Order or Proceeding. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Law or Order (whether temporary, preliminary or permanent), or commenced any Action against the Company, Parent or Merger Sub, which is then in effect and has the effect of enjoining, restraining, prohibiting or otherwise making illegal the consummation of the Merger (collectively, a “Restraint”).
No Order or Proceeding. (a) No Law or Order by any Governmental Authority that prohibits the consummation of any of the transactions contemplated by the Transaction Documents shall have been adopted or entered and shall continue to be in effect and (b) no proceeding by or before any Governmental Authority shall be pending in which an unfavorable Order would prevent the performance of any Transaction Document or the consummation of any of the transactions contemplated by the Transaction Documents, declare unlawful such transactions or cause any such transactions to be rescinded.
No Order or Proceeding. No Order of any Governmental Authority restraining, enjoining or otherwise preventing or delaying the execution and delivery of this Agreement or the consummation of the transactions contemplated hereby shall be outstanding, and no Proceedings or investigations by or before, or otherwise involving, any Governmental Authority shall be threatened or pending against the Purchaser, Merger Sub, the Company or any of its Subsidiaries which seeks to enjoin or prevent the consummation of the transactions contemplated under this Agreement or which seeks material damages in connection with the transactions contemplated hereby.
