Common use of No Omissions or Misstatements Clause in Contracts

No Omissions or Misstatements. None of the statements or information contained in any of the representations, warranties, covenants or agreements of Seller set forth in this Agreement or any information or documents delivered or to be delivered to Purchaser prior to the execution of this Agreement, contains any untrue statement of a material fact or omits a material fact necessary to make the statements contained in this Agreement or in any exhibit or schedule to this Agreement or in any of the other information provided or the documents delivered to Purchaser in connection with the transactions contemplated by this Agreement, in light of the circumstances in which those statements were made, not misleading.

No Omissions or Misstatements. None of the statements or No material information contained in any of the representations, warranties, covenants or agreements of Seller set forth included in this Agreement and Schedules or Exhibits hereto, or in any information certificate or other documents delivered furnished or to be delivered furnished by Seller or any of its representatives pursuant hereto, nor any other written factual material, spread sheets, e-mail transmissions, correspondence or other communications, supplied by Seller to Purchaser prior to Buyer or any of its representatives in connection with the execution of transactions contemplated by this Agreement, contains any untrue statement of a material fact or is misleading in any material respect or omits a to state any material fact necessary in order to make the statements contained in this Agreement or in any exhibit or schedule to this Agreement or in any of the other information provided statements herein or the documents delivered to Purchaser in connection with the transactions contemplated by this Agreement, therein not misleading in light of the circumstances in which those statements they were made, not misleading.
