No Obstructive Proceeding. No order, decree or judgment of any court, agency, commission, or governmental entity (which has not been dismissed or settled) shall be subsisting against the parties or any of the parties which would render it unlawful, as of the Closing Date, to effect the transactions contemplated hereunder in accordance with the terms of this Agreement. No governmental entity shall have instituted any action or proceeding (which has not been dismissed or settled) challenging the transactions contemplated hereunder. No non-governmental third party shall have instituted any action or proceeding challenging the transactions contemplated hereby which has a reasonable possibility of success and, if successful, would be reasonably likely to have a Material Adverse Effect;
