No New Information. (i) Administrative Agent shall not have become aware after July 22, 2008 of any information or other matter affecting Holdings or any of its Subsidiaries or any of the Transactions that in Administrative Agent’s reasonable judgment is inconsistent in a material and adverse manner with any such information or other matter disclosed to Administrative Agent prior to July 22, 2008. (ii) Holdings shall have provided to the Administrative Agent a confirmatory bring-down due diligence call one (1) day prior to the Effective Date, which shall have been reasonably satisfactory to the Administrative Agent.
