No Misstatement. None of the representations, warranties, covenants and agreements made by the Company in this Agreement or in any certificate delivered to the Purchasers by or on behalf of the Company pursuant to this Agreement, contains any untrue statement of a material fact, or omits to state a material fact necessary to make the statements contained therein not misleading in light of the circumstances when made or furnished to the Purchasers, as of the date of this Agreement, except for any statement herein or omission therefore which was corrected, amended, or supplemented or otherwise disclosed or updated in a subsequent exhibit, schedule or document prior to the date of this Agreement.

None of the representations, warranties, covenants and agreements made by the Company in this Agreement or in any certificate or other document delivered to the Purchasers by or on behalf of the Company pursuant to this Agreement, Agreement contains any untrue statement of a material fact, or omits to state a material fact necessary to make the statements contained therein not misleading in light of the circumstances when made or furnished to the Purchasers, Purchasers and as of the date of this Agreement, except for any statement herein therein or omission therefore which was corrected, amended, amended or supplemented or otherwise disclosed or updated in a subsequent exhibit, schedule or document prior to the date of this Agreement.
