No Materials Clause Samples

The "No Materials" clause establishes that no physical or digital materials, such as documents, goods, or proprietary information, will be provided, transferred, or exchanged between the parties under the agreement. In practice, this means that the contract does not involve the delivery of tangible items, samples, or intellectual property, and each party retains possession of their own resources. The core function of this clause is to clarify expectations and prevent misunderstandings regarding the provision or receipt of materials, thereby reducing the risk of disputes over ownership, delivery obligations, or liability for materials.
