No Material Misstatement. No representation or warranty made by Seller in this Agreement contains or will contain, at the time of execution of this Agreement and at the Closing, any untrue statement of a material fact.

No representation or warranty made by Seller in this Agreement contains and no statement contained in the Disclosure Schedules to this Agreement or will contain, any certificate furnished or to be furnished to Buyer at the time of execution of Closing pursuant to this Agreement and at the Closing, contains any untrue statement of a material fact, or omits to state a material fact necessary to make the statements contained therein, in light of the circumstances in which they are made, not misleading.
