No Legal Impediments. No law, regulation, order, judgment or decree of any Governmental Authority shall, and the Administrative Agent shall not have received from such Lender notice that, in the judgment of such Lender, litigation is pending or threatened which is likely to, enjoin, prohibit or restrain, or impose or result in the imposition of any material adverse condition upon, such Lender’s making of the requested Loan or participation in or issuance, increase or extension of the requested Letter of Credit.

No Legal Impediments. No law, regulation, order, judgment or decree of any Governmental Authority shall, and the Administrative Agent shall not have received from such Lender any notice that, in the judgment of such Lender, that litigation is pending or threatened which is likely to, (i) enjoin, prohibit or restrain, restrain such Extension of Credit or (ii) impose or result in the imposition of any material adverse condition upon, such Lender’s making a Material Adverse Effect. The delivery of each Notice of Borrowing shall constitute a representation and warranty by the Borrowers of the requested Loan or participation in or issuance, increase or extension correctness of the requested Letter of Creditmatters specified in subsections (b), (c), and, if applicable, (d) above.
