No Knowledge of Invalidity or Unenforceability. Neither Seller nor any of its Affiliates has Knowledge of any facts, circumstances or information that (i) would render any Company Intellectual Property invalid or unenforceable, (ii) would adversely affect any pending application for any Registered Intellectual Property, or (iii) would materially and adversely affect or impede the ability of an Acquired Company (including, after giving effect to the Reorganization, US NewCo) to use any Company Intellectual Property in the conduct of the Acquired Business as it is currently conducted.

  • Invalidity or Unenforceability In case any one or more of the provisions contained in this Agreement shall, for any reason, be held to be invalid, illegal or unenforceable in any respect, such invalidity, illegality or unenforceability shall not affect the other provisions of this Agreement, and this Agreement shall be construed as if such invalid, illegal or unenforceable provision had never been contained herein.
