Common use of No Injunctions, Orders or Restraints; Illegality Clause in Contracts

No Injunctions, Orders or Restraints; Illegality. No preliminary or permanent injunction, statute, rule, regulation, decree, ruling, temporary restraining order or other order issued by a court or other Governmental Entity of competent jurisdiction shall be in effect which would have the effect of making the consummation of the Mergers illegal; provided, however, that prior to a party asserting the failure of this condition, such party shall have used its reasonable best efforts to prevent the entry of any such injunction or other order and to appeal as promptly as possible any such injunction or other order that may be entered.

No temporary restraining order, preliminary or permanent injunction, statute, rule, regulation, decree, ruling, temporary restraining order injunction or other order Order issued by a court or other any Governmental Entity of competent jurisdiction shall be in effect which would have the effect of (i) making the consummation of the Mergers Merger illegal, or (ii) otherwise prohibiting the consummation of the Merger; provided, however, that prior to a party asserting the failure of this condition, condition such party shall have used its reasonable best efforts to prevent the entry of any such temporary restraining order, injunction or other order Order and to appeal as promptly as possible any such temporary restraining order, injunction or other order Order that may be entered.

No preliminary or permanent injunction, statute, rule, regulation, decree, ruling, temporary restraining order injunction or other order issued by a court or other Governmental Entity of competent jurisdiction shall be in effect effect, and no Law shall have been enacted or promulgated, which would have the effect of (i) making the consummation of the Mergers illegal, or (ii) otherwise prohibiting the consummation of the Mergers; provided, however, that prior to a party asserting the failure of this condition, condition such party shall shall, in the case of an injunction or order, have used its reasonable best efforts to prevent the entry of any such injunction or other order and to appeal as promptly as possible any such injunction or other order that may be entered.
