No Improper Solicitation. Notwithstanding Section 9.2, this Agreement is the product of negotiations among the Debtors, Senior Management and the Consenting Noteholders. This Agreement is not and shall not be deemed to be a solicitation for consents to a plan. No Consenting Noteholder's acceptance of a plan shall be solicited until such party has received a disclosure statement approved by the Bankruptcy Court and otherwise in compliance with Section 1126 of the Bankruptcy Code.
