No Impediments. It has not taken or agreed to take any action, nor does it have knowledge of any fact or circumstance, that would (i) materially impede or delay the consummation of the Transactions or the ability of the Parties to obtain any approval of any Governmental Entity required for consummation of the Transactions or to perform their covenants and agreements under this Agreement or (ii) prevent the Transactions from qualifying as reorganizations within the meaning of Section 368(a) of the Code.
