Common use of No Governmental Consent or Approval Required Clause in Contracts

No Governmental Consent or Approval Required. No authorization, consent, approval or other order of, declaration to, or filing with, any governmental agency or body is required to be made or obtained by the Corporation for or in connection with the valid and lawful authorization, execution and delivery by the Corporation of the Transaction Documents, for or in connection with the valid and lawful authorization, issuance, sale and delivery of the Series G Shares or for or in connection with the valid and lawful authorization, reservation, issuance, sale and delivery of the Reserved Shares, except exemptive filings under applicable securities laws that have been made or that are not required to be made until after the Closing and that shall be made on a timely basis.

No authorization, consent, approval or other order of, declaration to, or filing with, any governmental agency or body is required to be made before the First Closing or obtained by the Corporation any Second Closing for or in connection with the valid and lawful authorization, execution and delivery by the Corporation of the Transaction DocumentsAgreements, for or in connection with the valid and lawful authorization, issuance, sale and delivery of the Series G Shares or for or in connection with the valid and lawful authorization, reservation, issuance, sale and delivery of the Reserved SharesShares except such exemptive filings, except exemptive filings under applicable securities laws that have been made or that if any, as are not required to be made until after under the Closing Securities Act and that shall be applicable state securities laws and have been made on a timely basis.
