No Governmental Consent or Approval Required. No authorization, -------------------------------------------- consent, approval or other order of, or declaration to, or filing with, any governmental agency or body is required to be made or obtained by such Investor for or in connection with the valid authorization, execution and delivery by such Investor of the Transaction Documents or for the valid purchase by such Investor of the Shares hereunder or for or in connection with the issuance to such Investor of any Reserved Shares.
