No Governmental Action Required. The execution and delivery by the Company and Selling Stockholder of this Agreement does not and will not, and the consummation of the transactions contemplated hereby will not, require any action by or in respect of, or filing with, any governmental body, agency or governmental official other than a Form 8-K or other reports required to be filed by the Company with the Securities and Exchange Commission. Prior to the change of control of the Board of Directors (as described herein), the Company has properly filed a Schedule 14F-1 with the Securities and Exchange Commission.
