No Fiduciary Responsibilities. It is specifically understood that the Company’s decision-makers will not base its decisions regarding whether and how to pursue any Transaction solely on PHC’s advice, but will also consider the advice of the Company’s other advisors and such other factors which they consider appropriate. PHC, as an independent contractor under this letter agreement, shall not assume the responsibilities of a fiduciary to the Company or its stockholders in connection with the performance of PHC’s services hereunder.
