Common use of No Disposition Clause in Contracts

No Disposition. Shareholder hereby covenants and agrees that, except as contemplated by this Agreement and except pursuant to the Offer, Shareholder shall not, and shall not offer or agree to, sell, transfer, tender, assign, or otherwise dispose of, or create or permit to exist any restriction, right of first refusal, agreement or limitation on Shareholder's voting rights, with respect to, the Shares now owned or any other shares that may hereafter be acquired by Shareholder.

Shareholder hereby covenants and agrees that, except as contemplated by this Agreement and except pursuant to the Offer, Shareholder shall not, and shall not offer or agree to, sell, transfer, tender, assign, hypothecate or otherwise dispose of, or create or permit to exist any option, restriction, right of first refusal, agreement or limitation on Shareholder's voting rights, with respect to, the Shares now owned or any other shares that may hereafter be acquired by Shareholder.
