Common use of No Default Effected Clause in Contracts

No Default Effected. The execution and delivery of this Agreement by Seller and the consummation by Seller of the transactions contemplated hereby, subject to the fulfillment of the terms and compliance with the provisions hereof and all Regulatory Approvals and landlord approvals, will not conflict with, or result, in the breach of, or a default (or an occurrence which, with the lapse of time or action by a third party, could result in a breach or default) with respect to (i) any of the terms, conditions or provisions of any Laws applicable to Seller or any Affiliate of Seller, or of the charter or bylaws of Seller, (ii) any agreement or other instrument to which Seller or any Affiliate of Seller is a party or is subject or by which Seller or any Affiliate of Seller or any of their properties or assets are bound, or (iii) any order, judgment, injunction, decree, or award of any court, arbitrator, government agency or public official by which Seller is bound.

The execution and delivery of this Agreement by Seller Buyer and the consummation by Seller Buyer of the transactions contemplated hereby, subject to the fulfillment of the terms and compliance with the provisions hereof and all Regulatory Approvals and landlord approvals, will not conflict with, or result, result in the breach of, or a default (or an occurrence which, with the lapse of time or action by a third party, could result in a breach or default) with respect to (i) any of the terms, conditions or provisions of any Laws applicable to Seller Buyer or any Affiliate of SellerBuyer, or of the charter or bylaws of SellerBuyer, (ii) any agreement or other instrument to which Seller Buyer or any Affiliate of Seller Buyer is a party or is subject or by which Seller Buyer or any Affiliate of Seller Buyer or any of their properties or assets are bound, or (iii) any order, judgment, injunction, decree, or award of any court, arbitrator, government agency or public official by which Seller is bound.
