This Agreement shall not be construed more strictly against one party than another merely by virtue of the fact that it may have been prepared by counsel for one of the parties, it being recognized that, because of the arm's-length negotiations, all parties hereto have contributed substantially and materially to the preparation of this Agreement.

Each party has had access to legal counsel of its choosing, or has elected to proceed without counsel due to such party’s experience and sophistication in matters of this nature.
