Common use of No Conflict with Constating Documents Clause in Contracts

No Conflict with Constating Documents. Neither the entering into of this Agreement nor the consummation of the transactions contemplated hereby will result in a breach of any of the terms or provisions of the constating documents of the Developer or of any indenture or other agreement, written or oral, to which the Developer is a party, and all necessary corporate action on the part of the Developer has been or will be taken to authorize and approve the execution and delivery of this Agreement and the performance by the Developer of its obligations.
